These Terms and Conditions govern your use of the services provided by Mosaic Marketing Operations Ltd.,a company registered in England and Wales (Company Number: 15253526, Registered Office: 18 Wellington Park, Clifton, Bristol BS8 2UT) ("we", "us", "our").

By engaging our services or accessing our website, you agree to be bound by these terms.

1. Services

We provide marketing operations consultancy, AI automation workflows, and technology-driven marketingsolutions. The specific scope of services will be outlined in individual Statements of Work (SOWs) orproposals agreed upon in writing.

2. Client Obligations

You agree to:
- Provide all necessary access to data, platforms, and information to enable us to deliver the services effectively.
- Cooperate in good faith and respond to requests in a timely manner.

3. Fees and Payment

- Fees are set out in your SOW or proposal.
- Unless otherwise agreed, invoices are payable within 14 days of receipt.
- Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.

4. Intellectual Property

- All intellectual property created by us during the project (excluding your pre-existing materials) will remain our property until full payment is received.
- Upon full payment, you are granted a non-exclusive, non-transferable licence to use the deliverables for your internal business purposes.

5. Confidentiality

Each party agrees to keep all confidential information disclosed by the other party secure and not to discloseit to any third party without prior written consent, except as required by law.

6. Liability

- We will provide services with reasonable skill and care.
- Our total liability for any claim arising out of or in connection with our services shall not exceed the total amount paid by you for the services in the 3 months preceding the claim.
- We shall not be liable for any indirect, incidental, or consequential loss.

7. Termination

- Either party may terminate the agreement with 30 days' written notice.
- We reserve the right to suspend services if payment is overdue or if there is a material breach of these terms.

8. Force Majeure

We are not liable for failure to perform caused by circumstances beyond our reasonable control, including but not limited to natural disasters, war, or failure of third-party platforms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.

10. Amendments

We reserve the right to update these Terms from time to time. The latest version will always be available onour website and will be effective from the date of publication.
